Is it legall to make a TC of Cube/Sauer(replace all contents of packages and textures in data directory and leave the source untouched)?

Of course. If you change all the media, you have no problem. The source is open.
Read the readme.html (front page scroll down to "license") Check out /src/readme.txt for further info.

don't take the media from the game itself.
you should assume that all authors of media who have contributed have reserved all of their rights.
however, some authors might have released their stuff with lighter licenses on their own sites. so you should go to their site and get it.
if you don't want to do that, then make an add-on mod like everybody else. that way you don't have to touch anybody elses stuff.
